1. Overview

These terms are between Curated Visuals Pty Ltd, trading as Studio Who (ABN: 47 657 935 987 | ACN: 657 935 987) ("Studio Who", "we", "our", "us"), and the client engaging our services ("the Client", "you").

You agree to these terms by accepting a Studio Who quotation in writing. An email accepting the quotation counts as writing. In these terms, a "quotation" includes any proposal or quote from Studio Who. If you have signed a Studio Who Services Agreement, that agreement applies instead of these terms for the work it covers.

Studio Who provides services across the following areas:

  • Creative: photography, videography and drone filming
  • Design: websites and brand design
  • Social media management: planning, scheduling, posting and reporting
  • Marketing: paid advertising, content marketing and brand strategy

Each project is set out in a written quotation. It lists the agreed work, fees and timelines. Section 3a explains how a project is confirmed.

Only the services listed in the accepted quotation are included.

2. Scope of Work and Extra Work

Extra rounds of changes, and any work outside the agreed scope, are charged at $300 per hour plus GST. We'll tell you before starting extra work. Extra work is invoiced separately and is due within 30 days of the invoice date.

For web design and social media projects, you're responsible for supplying timely feedback, approvals and any access needed. Delays in providing materials or approvals may affect delivery dates.

3. Quotations, Production Rates and Payment Terms

We may give you a written quotation for any project. Each quotation is valid for 21 days from the date of issue, unless we withdraw it sooner. Each quotation is based on the scope agreed at the time of quoting.

a. Accepting a quotation and confirming a project

A project is confirmed when you accept the quotation for that project in writing, or sign a Studio Who Services Agreement with that quotation attached. An email accepting the quotation is enough. We hold a shoot date only once the project is confirmed, and start work from then. The following terms then apply:

  • We send one invoice for each project when the project is confirmed, or 30 days before the first shoot day or start date, whichever is later, unless the quotation says otherwise.
  • Each invoice is due in full within 30 days of its date.
  • If the fees change after the invoice is sent, for example because of extra work, travel or a change in scope, we'll send a separate invoice for the extra amount, or a credit note if the fees go down.
  • Final files are released once the invoice is paid in full, unless the quotation gives an earlier delivery date, or we both agree otherwise in writing.
  • Final files are the finished photos, videos and other work listed in the quotation. Raw footage is a final file when the quotation includes it. Review copies sent for feedback, such as preview links or watermarked files, are not final files.
  • All fees are set out in writing and include GST, unless the quotation says otherwise.

For monthly services and work paid in instalments, we invoice on the dates in the quotation. If the quotation gives no dates, we invoice at the start of each month. Each invoice is due within 30 days of its date. If an instalment is overdue, we may pause the work and hold back files not yet delivered until it is paid.

Unless we both agree otherwise in writing:

  • Each video includes up to three rounds of changes. A round is one list of changes, sent together in one message. For photos, websites and other work, the quotation says how many rounds are included. If it does not say, there are three rounds across the whole set.
  • We'll complete the work within the agreed timeframe, as long as you give feedback and access on time.

If the scope, requirements, information or timing change after the project is confirmed, we'll send an updated quotation. The new fees apply once you accept it in writing. An email is enough.

b. Production rates and expenses

Our fees are set out in the quotation. They may be a project fee, a monthly fee or an hourly rate. Fees may depend on:

  • equipment
  • staffing or crew
  • talent
  • locations and permits
  • licences or third-party costs

Our standard hours are 9am to 5pm, Monday to Friday. If the quotation includes work outside these hours, such as weekends or evenings, the quoted price covers it. Any other work outside these hours needs your agreement in writing and may cost more.

Some work uses material owned by others, such as stock music. The quotation says whether its cost is included. If it is not, we'll agree the cost with you in writing before buying it, and you pay it. You may use that material only as its own licence allows. We'll tell you about any limits, such as on paid ads or TV.

There is no travel charge within 25km of the Canberra CBD (postcode 2600). Travel further away is charged as set out in the quotation. If the quotation does not cover it, we'll agree the travel cost with you in writing before the trip.

You also agree to repay us for expenses paid on your behalf in doing the work, if you approved them in writing before they were paid. These costs are included in the project invoice where they are known. Costs that come up after the invoice is sent are invoiced separately, due within 30 days of the invoice date.

If third-party costs for a project come to more than $1,000, such as flights or equipment hire, we may invoice them when the project is confirmed and book them once that invoice is paid. You may also pay the supplier directly. This is a prepayment of costs only, not a deposit on our fee.

c. Invoicing and payment methods

Each invoice is due as set out in section 3a.

Pay by bank transfer to the account shown on the invoice, or by card on request. If a card fee applies, it is shown on the invoice. It is no more than our cost of accepting that card. We will never change our bank details by email alone. If you get a message saying our bank details have changed, call us on (02) 6103 0948 before you pay.

If an invoice is not paid by its due date, we may:

  • charge a late payment fee of $350 (incl. GST) for each full seven (7) calendar days the invoice stays unpaid after its due date. Late fees on one invoice will not be more than 10% of that invoice, or $350 (incl. GST), whichever is higher;
  • pause any work not yet finished, including any monthly service, and hold back any files not yet delivered, until the overdue amount is paid; and
  • pause your right to use any files already delivered for that project, until the overdue amount is paid. We'll tell you in writing before doing this.

d. Your responsibilities

You're responsible for reviewing and confirming all project details, including briefs, scripts, schedules and call sheets, before the shoot day.

We're not responsible for errors, delays or rework caused by information you approved that later turns out to be wrong or incomplete.

You're responsible for making sure any content, images or materials you supply to us don't infringe anyone else's intellectual property rights.

If you haven't replied within 10 business days of us sending a version for review and a written reminder, that version is treated as approved. If a project is on hold for more than 60 days because we're waiting on you, we may treat it as cancelled by you under section 4.

4. Ongoing Services, Retainers and Cancellation

For ongoing or monthly services (including social media management, website maintenance or retainers):

  • Services run month to month, unless agreed otherwise in writing.
  • Either of us may end the engagement with 30 days' written notice.
  • All work completed and approved expenses up to the end date will be invoiced in full.
  • Once work for a month has started, the fee for that month is payable in full.

If you cancel a confirmed project, you pay for:

  • work completed up to the cancellation date, at the prices in the quotation, or at the hourly rate in section 2 for work the quotation does not price;
  • any third-party costs already paid or committed for the project; and
  • a cancellation fee for each shoot day or visit that is cancelled, as set out below.

The cancellation fee is based on the notice given before each cancelled day:

  • 14 days or more: no fee
  • 7 to 13 days: 25% of the price for that day
  • Less than 7 days: 50% of the price for that day

The cancellation fee applies only to the days that are cancelled. It is not charged on work already done.

If the project invoice has already been sent, we'll reduce it to the amount owed under this section with a credit note. If it has already been paid, we'll refund the difference within 14 days.

You may move a shoot date once at no charge with 14 days' notice or more. Moving a shoot date with less than 7 days' notice counts as cancelling that day, unless we agree otherwise in writing. If we have to cancel or move a shoot day because of illness, weather or safety, no fee applies.

This makes sure we're paid fairly for time, resources and costs before the cancellation.

5. Intellectual Property

Curated Visuals Pty Ltd (trading as Studio Who) owns the copyright in all work it creates for you, before and after payment, unless the quotation says otherwise.

You keep ownership of material you give us, such as your logo, brand files and photos. We use that material only to do the work.

You may use the final files for your business purposes from the day they are delivered. This licence has no end date. It can be transferred to anyone who buys your business, if you tell us in writing. Otherwise it cannot be transferred, except as the quotation allows.

If the quotation lets other people use the work, such as exhibitors or sponsors at an event, the quotation applies.

Raw footage, working files and unused material are not included unless the quotation includes them.

If anyone other than Studio Who edits the footage or files, the result must not be credited to Studio Who.

If an invoice is overdue, we may pause the licence for the files on that invoice, as set out in section 3c.

We may show completed work, including images, videos, websites and designs, in portfolios, case studies, presentations, and on our website and social channels.

If you'd prefer your work not be shown, you must ask in writing before or at the time of delivery.

6. Confidentiality and Data

Both of us agree to keep all confidential information shared during the project private, and not to share it with third parties without written consent, unless required by law.

We may collect limited data where it is needed to deliver the services (for example, analytics access for website or social media management).

All data is handled responsibly and in line with Australian privacy laws.

7. Quality, Liability and Subcontractors

We will perform all services with due care and skill, consistent with industry standards and the Australian Consumer Law.

To the maximum extent permitted by law, we are not liable for indirect, consequential or financial loss. Our total liability is limited to the fees for the specific project giving rise to the claim. For a monthly service, it is limited to the fees for the 3 months before the claim.

We may use trusted subcontractors, freelancers or suppliers to help deliver the services. All work stays subject to our quality standards and oversight.

8. Dispute Resolution

If a dispute arises, both of us agree to try to resolve it in good faith through discussion first.

If we can't resolve a dispute within 14 days, either of us may ask for mediation. Each party pays its own costs, and we share the mediator's fee equally.

This section does not stop either of us from taking action to recover an unpaid amount, for example through the ACT Civil and Administrative Tribunal (ACAT).

9. Governing Law

These terms are governed by the laws of the Australian Capital Territory and the Commonwealth of Australia. Both parties submit to the exclusive jurisdiction of the courts of the Australian Capital Territory.

10. Entire Agreement

These terms, together with any accepted quotation, are the entire agreement between you and Curated Visuals Pty Ltd trading as Studio Who.

If the accepted quotation and these terms say different things about a project's scope, price, delivery dates or usage rights, the quotation applies. For everything else, these terms apply, unless the quotation names the section it changes.

These terms replace any prior discussions, representations or understandings. Any changes must be agreed in writing by both parties.
